1. Acceptance of Terms
By accessing or using Memory Lab ("the Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Service.
2. Description of Service
Memory Lab is a learning platform that helps users capture, organize, and review information using spaced repetition techniques. The Service includes web and browser extension applications, note-taking features, flashcards, and revision scheduling.
3. User Accounts
Registration: You must create an account to use certain features of the Service. You agree to provide accurate, current, and complete information during registration.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Account Termination: We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent or illegal activities.
4. User Content
Ownership: You retain ownership of all content you create and store in Memory Lab ("User Content"). By using the Service, you grant us a license to store, process, and display your User Content solely for the purpose of providing the Service.
Responsibility: You are solely responsible for your User Content. You represent that you have all necessary rights to the content you upload and that your content does not violate any laws or third-party rights.
Prohibited Content: You may not upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
5. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with or disrupt the Service or servers
- Use automated systems to access the Service without authorization
- Reverse engineer, decompile, or disassemble any part of the Service
- Remove or modify any copyright, trademark, or proprietary notices
- Share your account credentials with others
6. Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are owned by Memory Lab and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
7. Subscription and Payment
Free and Paid Plans: Memory Lab offers both free and paid subscription plans. Pricing and features are subject to change with notice.
Billing: Paid subscriptions are billed in advance on a recurring basis. You authorize us to charge your payment method for the applicable subscription fees.
Cancellation: You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period.
Refunds: Subscription fees are generally non-refundable except as required by law or as otherwise stated in our refund policy.
8. AI Features
Memory Lab may use artificial intelligence to enhance your learning experience, including note completion and content suggestions. AI-generated content is provided "as is" and should be reviewed for accuracy. We are not responsible for errors or inaccuracies in AI-generated content.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
Memory Lab is a learning tool and should not be relied upon as a substitute for professional advice or education. We are not responsible for your learning outcomes or the accuracy of content you create.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMORY LAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify and hold Memory Lab harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
14. Modifications to Service
We reserve the right to modify or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Memory Lab operates, without regard to its conflict of law provisions.
16. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court to protect intellectual property rights.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
